All our sales and deliveries are subject to the conditions listed below unless they have been modified or adapted by written agreement. 

In all cases, the Swiss Code of Obligations and other laws and ordinances of Swiss law are authoritative. 

Offers

Our offers are limited in time, either by law or by specific indications in the offers. Our offers are of a confidential nature and may only be viewed by persons who deal with our offers. We reserve the copyright and ownership rights to documents of a technical nature. These documents may not be copied or made available to third parties without our consent.

Prices and packaging

All prices in our price lists and brochures are indicative. They are net prices ex works; packaging, delivery and insurance are invoiced additionally. If the packaging has been declared as belonging to us, it must be returned to us no later than 4 weeks after receipt. Any customs or other taxes, special permissions, authentications and other costs shall be borne by the purchaser. We reserve the right to ask for a deposit for order processing. We also reserve the right to adjust prices during order processing in the event of major currency fluctuations, increased customs duties, increased tax charges or price increases. 

On-call orders

Call-off orders as well as master agreements can be collected for one year from the day of order confirmation. If the goods have not been collected either within one year or within a possible additional period of time, an advance payment on the invoice amount as well as a monthly storage fee of 1% of the value of the goods will be invoiced. This shall apply for each delay by the purchaser. 

Cancellation

Orders can only be cancelled with our agreement. The buyer undertakes to reimburse all costs resulting from the order or its cancellation if he withdraws from the contract.

Delivery times, delivery and transport damage

We constantly strive to meet the delivery times indicated. It is possible that delivery deadlines may not be adhered to, e.g. in the event of breakdowns, major disruptions, strikes, etc. at us or our suppliers, which could not have been foreseen or avoided. A delay in delivery does not entitle the customer to discounts and does not entitle him to cancel the order. The delivery is considered completed when the goods leave our premises, or in the case of direct delivery by one of our suppliers, when the goods leave the premises of our supplier. The purchaser shall bear the risks of delivery and transport, even if the contract stipulates free delivery. The goods are always packed with the utmost care. In the event of breakage or damage during transport, the recipient must report this immediately to the delivery company and inform us of the incident in writing. This also applies if there is no external damage to the packaging. It goes without saying that the recipient must always check the delivery before opening it. Any transport damage must be reported immediately to the delivery company, if possible to the driver responsible. Partial deliveries are possible and will be invoiced according to their execution. A delivery containing 10% more or less than the ordered quantity is considered to be completed. 

Returns, exchanges

Goods may only be returned with our written consent. The goods must be complete, in perfect condition and packed in the original packaging. The replacement of parts will be equal to the quantity of defective parts returned. We reserve the right to charge an exchange or return fee.

Payment

The buyer has 30 days net from the date of the invoice to pay the full amount due. If the 30-day period is not respected, the buyer undertakes to pay interest of at least 5% above the discount rate of the Swiss National Bank. We reserve the right to demand additional compensation in individual cases. 

Retention of title

We reserve the right of ownership of the delivery until full payment of the amount due. We shall be entitled, at the purchaser's expense, to enter the reservation of title in the official register and to complete all necessary formalities. The purchaser is obliged to cooperate in measures to protect our property. 

Obligations

If differences arise between the original text in French and the original text in English, the text in English shall be replaced by the original text in French.

Warranty, liability

We grant you the warranty offered by our suppliers, which is for one (1) year, unless otherwise specified. During this period, the warranty covers all defects that can be attributed to poor quality material or improper workmanship. 

In the case of obvious defects or faults, the right of guarantee and complaint expires 10 days after receipt or collection, if the purchaser does not report them. 

In the event of any disputes, only Swiss law is applicable. The place of jurisdiction is Horgen. Our company is always ready to resolve disputes amicably and by mutual agreement.
